WEBSITE ONLY. These Terms do not replace or amend contracts, proposals, SOWs, order forms, DPAs, or service level agreements for contracted services.

These Website Terms and Conditions of Use (the “Website Terms”) govern echezgroup.com and www.echezgroup.com, their pages, content, forms, and resources, and subdomains that expressly incorporate these Terms (the “Website”). The operator is Echez Inc., registered in Florida as ECHEZ, INC, a corporation incorporated under the laws of the State of Florida, United States, with its principal address at 1825 Main St, Weston, FL 33326 (“Echez,” “we,” “us” or “our”). Commercial references to “Echez Group” do not automatically make affiliates or brands parties to these Terms; the entity for a separate service is the one identified in its contract.

1. Acceptance and scope

These Website Terms govern only access to and use of the public Website. By using it after receiving reasonably conspicuous notice of these Terms and a reasonable opportunity to review them, you agree to their provisions to the extent that such conduct constitutes valid acceptance under applicable law. Where express acceptance is requested, you must take the action clearly identified for that purpose. If you do not agree, you must discontinue use of the Website.

Acceptance of these Website Terms does not constitute consent to marketing, non-essential cookies, international transfers, or other data processing that requires a separate legal basis or affirmative action. Exercising privacy rights is not conditional on accepting these Terms.

2. Eligibility and lawful access

The Website is primarily intended for individuals acting in a professional, business, or commercial capacity; it is not directed to children. Persons with the necessary legal capacity must use commercial, registration, and recruitment forms. If you act on behalf of an organization, you must have authority to do so.

You must comply with all applicable laws. You may not use the Website to evade applicable trade sanctions or export controls. Availability of the Website outside the United States does not mean that every service is available or may be purchased in every jurisdiction.

3. Informational purpose of the Website

The Website may include information about Echez, services, solutions, methodologies, news, case studies, career opportunities, and commercial resources. Except for an express commitment in an applicable agreement, this content is not a binding offer, final quotation, availability commitment, service level, or guarantee of results.

Content is not a substitute for legal, tax, financial, regulatory, technical, or professional advice for a specific situation. Examples, estimates, and past case results do not guarantee future outcomes. This section does not exclude legal obligations concerning truthful advertising or mandatory pre-contractual information.

4. Relationship with services, products, and contractual documents

Purchasing, scope, deliverables, pricing, schedules, service levels, confidentiality, intellectual property, security, and liability for contracted services are governed by duly entered agreements: a master services agreement (MSA), accepted proposal, statement of work (SOW), order form, data processing agreement (DPA), service level agreement (SLA), or other applicable instrument.

These Website Terms do not replace, amend, expand, or terminate those agreements, or change their order of precedence. References or links to Xales, Cyclopex, or other solutions do not grant access to or licenses for separate services, which are governed by their own terms and agreements.

5. Acceptable use of the Website

You must use the Website lawfully. In particular, you must not:

  • Use it for fraud, impersonation, deception, harassment, unlawful discrimination, defamation, or infringement of third-party rights.
  • Introduce malware, harmful code, or mechanisms intended to compromise the security, integrity, or availability of the Website.
  • Access systems, servers, accounts, networks, databases, or information without authorization, or circumvent access controls.
  • Conduct vulnerability testing, exploitation, or reverse engineering without prior written authorization, except under a non-waivable right provided by law.
  • Harvest personal data or extract or reuse content through bots or scraping without authorization or legal permission. This restriction does not prevent authorized indexing or legally permitted uses.
  • Use forms, email addresses, or resources for spam, unlawful communications, or deliberately false or misleading information.

6. Forms, requests, and user submissions

Information you submit must, to your knowledge, be accurate, current, and lawfully supplied. For third-party data or materials, you must have the authority, permissions, and legal grounds required to submit them.

You retain your rights in your materials and permit Echez to use them only as necessary to address your request and lawfully disclosed purposes. Submission does not grant a general license to publish, sell, use them for advertising, or train artificial intelligence models.

Do not submit trade secrets, credentials, sensitive data, or regulated information through open forms unless expressly requested through an appropriate channel. Submission alone does not create a confidentiality agreement or a professional, employment, or services relationship; nor does it remove existing legal or contractual privacy or confidentiality obligations.

7. Recruitment and career opportunities

Publication of an opportunity or receipt of an application does not constitute an offer or a guarantee of employment or engagement. Any engagement is governed by the agreement with the identified entity and the applicable employment or contract laws; these Website Terms do not determine that classification.

Applicant data will be processed under the recruitment privacy notice or, in its absence, the applicable privacy policy and the law. Recruitment providers must be used consistently with the relevant privacy and security obligations.

8. Privacy and data protection

The Echez Website Privacy and Data Protection Policy, along with specific collection notices, governs the collection of personal data through the Website. The Echez General Privacy Policy complements them within its scope without expanding purposes or replacing the specific notice. If these Website Terms conflict with the Website Privacy Policy on Website personal data, that policy prevails only on that subject.

Echez determines the purposes and means of its own Website processing and acts as controller where applicable. Documented instructions govern processing on behalf of customers, the DPA, and applicable agreements; these Terms do not authorize independent uses of customer data.

Processing and international transfers are subject to the applicable laws and safeguards. Where consent is required, Echez will request it separately before processing. Browsing or accepting these Terms is not a substitute. Promotional communications will be handled separately from responses to requests, with applicable opt-out choices.

9. Cookies and similar technologies

The Website may use cookies, pixels, tags, local storage, and similar technologies for necessary functions, security, preferences, analytics, and, where applicable, advertising. Their categories, purposes, and available choices will be described in the applicable policy or notice.

Where the law requires prior consent, technologies subject to that requirement will not be activated until consent is obtained. Echez will provide appropriate mechanisms to accept, reject, or adjust preferences, and to withdraw consent. Where legally required, Echez will also honor recognized opt-out preference signals. Mere browsing, silence, or general acceptance of these Terms does not constitute the required consent.

10. Intellectual property

Website content and elements, including text, designs, images, videos, software, code, documentation, methodologies, and trademarks, belong to Echez or their respective owners or licensors. Unless a separate license applies, you receive limited, non-exclusive, non-transferable permission to review them and retain reasonable copies for information or internal business evaluation, preserving ownership notices.

Sale, sublicensing, publication, modification, or commercial exploitation is not authorized except by written permission or as permitted by law. These Terms do not transfer rights in customer data, deliverables, or materials governed by separate agreements, or turn personal data into Echez’s intellectual property.

11. Trademarks, trade names, and third-party references

Echez and third-party names, logos, and distinctive signs belong to their respective owners. Appearance of a customer, provider, partner, or other third party does not grant a trademark license or, by itself, imply sponsorship, certification, affiliation, or endorsement beyond what is expressly stated.

Use of Echez trademarks beyond what these Terms authorize requires prior written permission, except for legally permitted uses. No reference authorizes anyone to represent a business relationship that does not exist.

12. Third-party links, platforms, and services

Linked independent third-party websites and services may have their own terms and policies. Echez does not control its content, availability, or decisions, or warrant them merely by linking to them, without prejudice to liability imposed on Echez by law or contract.

This provision does not release Echez from obligations concerning providers it engages to operate the Website or process data on its behalf. Use of an integration or link does not grant unlimited authorization to disclose data; the relevant notice, user choices, instructions, and safeguards apply.

13. Artificial intelligence, automation, and technologies

References to artificial intelligence, automation, CRM, analytics, social networks, or integrations, including LinkedIn and Meta, are for informational purposes. Availability depends on the contracted scope, permissions, configuration, technical requirements, provider approval, and applicable law. Third-party approval and universal availability must not be presumed.

If automated tools are enabled on the Website, their outputs may contain errors and require verification before significant decisions. They are not, by themselves, professional advice or contractual commitments by Echez. Acceptance of these Terms does not authorize model training with personal data or confidential information outside the applicable policies, legal grounds, and agreements.

14. Website security

Echez adopts reasonable technical, administrative, and organizational measures to protect the Website and information under its control. No system guarantees absolute security. This limitation does not remove legal or contractual duties concerning security, incident response, or notification.

You must maintain the security of your devices, credentials, and connections. You may report suspected unauthorized access or incidents through the channels in Section 24, without sending passwords or disclosing unnecessary data.

15. Disclaimer of warranties

To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available.” Echez disclaims excludable express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, and non-infringement. Echez does not warrant uninterrupted operation, freedom from errors or harmful components, universal compatibility, or continuous accuracy or currency.

This disclaimer is limited to the Website. It does not reduce warranties expressly agreed for contracted services or obligations or rights that cannot be excluded under applicable law.

16. Limitation of liability

To the fullest extent permitted by law, Echez is not liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising solely from access to, use of, or inability to use the Website. This exclusion includes loss of profits, revenue, opportunities, data, goodwill, or business continuity only where such losses have that character.

Nothing excludes liability for fraud, willful misconduct, or gross negligence, or other liabilities, privacy remedies, or consumer rights that cannot be limited by law. Liability for contracted services is governed solely by the applicable agreements; no cap based on fees or payments under those agreements applies to Website visitors.

17. Indemnification for misuse

To the extent permitted by law and attributable to your conduct, you will indemnify Echez against third-party claims, damages, and reasonable costs, including reasonable legal fees, directly resulting from your unlawful or unauthorized use of the Website, breach of these Terms, or infringement of third-party rights through your submissions.

This obligation does not cover losses attributable to Echez’s breach, negligence, or willful misconduct, or obligations that cannot legally be shifted. Echez will promptly notify you of the claim and allow reasonable participation in the defense; no settlement may impose admissions or obligations on you without your prior consent. Mandatory consumer protections are preserved.

18. Availability, suspension, and maintenance

Echez may maintain, restrict, suspend, or discontinue all or part of the Website for technical, operational, security, legal, business, maintenance, or force majeure reasons, or reasonable indications of misuse. Where reasonably possible, Echez will seek to minimize material disruption without guaranteeing continuity. These rights do not authorize suspension of contracted services outside their agreements or obstruction of lawful privacy requests.

19. Changes to the Website

Echez may update content, features, pages, materials, links, and forms. Descriptions of services or capabilities may change, but do not automatically amend existing commercial commitments. The legally required terms and notices must accompany new features involving accounts, payments, contracting, or additional processing before use.

20. Changes to these Website Terms

Echez may update these Terms to reflect legal, technical, or operational changes. Echez will publish the version and effective date, and give conspicuous notice of material changes promptly, unless legal or security reasons justify immediate application. Additional notice or acceptance will be provided or obtained where required by law.

Changes apply prospectively, not to disputes that have already arisen or to amend separate agreements. Subsequent use constitutes acceptance only under Section 1 and applicable law. Any necessary privacy consents will be requested independently.

21. Governing law and jurisdiction

These Website Terms and disputes relating solely to the Website are governed by the laws of the State of Florida and applicable United States federal law, without applying conflict-of-law rules that would select another law. Echez is a United States company; its international reach does not change that identity or the chosen contract law.

Mandatory privacy, data protection, electronic communications, consumer protection, and other laws remain applicable where their territorial and material scope is met. Mere accessibility of the Website does not mean that every law of every country applies.

To the extent permitted by law, Website-only disputes are subject to the exclusive jurisdiction of the competent state courts in Broward County, Florida, or, where federal subject-matter jurisdiction exists, the United States District Court for the Southern District of Florida, sitting in Fort Lauderdale. Non-waivable rights to use another court or complain to competent authorities are not restricted. This choice does not amend forums agreed for separate services.

22. Severability and no waiver

If a provision is invalid, unlawful, or unenforceable, it will be severed to the necessary extent, and the remaining provisions will remain in effect, unless the law requires otherwise. Either party’s delay or failure to exercise a right is not a waiver. Obligations that by their nature should survive will do so to the extent legally permitted.

23. Entire agreement, document hierarchy, and languages

These Terms constitute the agreement on Website use, together with specific terms validly accepted for a feature. For Website data matters, specific notices and the Website Privacy Policy take precedence under Section 8, always subject to mandatory law. They do not grant general consent or change processing purposes.

Contracted services remain governed by their agreements and precedence rules. The DPA governs processing on behalf of the customer and prevails as provided in that DPA. These Website Terms do not extend that precedence to commercial matters unrelated to processing, nor do they restrict mandatory transfer clauses. They also do not replace the 2020 General Terms of Services, which are incorporated into an existing contract.

The English version of these Terms is the reference version. The Spanish version is intended to reflect the same provisions. In the event of a discrepancy, English controls only to the extent permitted by law, without limiting non-waivable language rights or legal protections arising from information supplied to a user in another language. Both versions are to be updated in coordination.

Questions, complaints, and communications about the Website may be directed to the following channels. Those contracts govern notices under separate contracts; these channels do not replace legal requirements for service of process.
